ARTICLES OF INCORPORATION
OF
TOK COMMUNITY LIBRARY ASSOCIATION
TOK, ALASKA


ARTICLE I

The name of this association shall be "Tok Community Library Association."

ARTICLE II

The purpose of this association shall be to establish, operate, and maintain a public library and to engage in any other legal non-profit purpose allowed under the law. This corporation is organized exclusively for charitable and educational purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code. Notwithstanding any other provision of these Articles, the corporation shall not carry on any other activities not permitted to be carried on by an organization exempt from Federal Income Tax under Section 501(c)(3) of the Internal Revenue Code.

ARTICLE III

The Annual Meeting and Election of Board of Directors will be held in the Library or other designated place during the second quarter of each calendar year (fourth quarter of the fiscal year, April-June). The next regular meeting and election of officers will immediately follow the annual meeting.

ARTICLE IV

The time of commencement of this association shall be immediately. The period of continuance of said association shall be in perpetuity.

ARTICLE V

Membership consists of residents of the Tok area in a 15 mile radius of the junction of the Alaska Highway and Tok Cutoff.

ARTICLE VI

The affairs of this association shall be managed by the Board of Directors. The Board of Directors shall consist of the following officers: president, vice-president, secretary, treasurer, librarian, and 2 members-at-large.

ARTICLE VII

These Articles of Incorporation may be amended at any regular meeting of the members or at any special meeting of the same called for that purpose by a vote of two-thirds of the members present at the meeting. No amendment of the Articles of Incorporation shall be made at any regular meeting, and no such action shall be taken at any special meeting, unless public notices are posted in three public places ten (10) days in advance of meeting. Such amended Articles shall be executed and acknowledged by the officers in whom the management of the affairs of the association is vested and shall be filed and recorded in the same place and manner as the original Articles.

ARTICLE VIII

Upon the winding up and dissolution of this association, after paying or adequately providing for the debts and obligations of the association, the remaining assets shall be distributed to a non-profit fund, foundation, or corporation which has established its tax exempt status under Section 501(c)(3) of the Internal Revenue Code or as stated in the Articles of Amendment dated September 22, 1972, all assets shall become the property of the State of Alaska.
